Terms of Service

These Terms of Service ("Terms") govern your use of the website rankflowsystems.com (the "Site") and any services provided by RankFlow Systems LLC ("RankFlow," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms. If you don't agree, please don't use the Site or our services.

1. Services

RankFlow provides marketing services including web design, SEO, local SEO, paid advertising, content marketing, social media, and marketing automation. The scope of any specific engagement will be defined in a separate written proposal, statement of work, or service agreement.

2. Use of the Site

You agree to use the Site only for lawful purposes. You may not:

  • Use the Site in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Site
  • Use the Site to transmit malware, viruses, or harmful code
  • Scrape, copy, or republish Site content without written permission
  • Use any automated system (bots, spiders) to access the Site

3. Intellectual Property

All content on the Site — including text, graphics, logos, designs, and code — is owned by RankFlow Systems LLC or its licensors, and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

Work product delivered under a paid engagement is owned by the client upon full payment, except for: (a) RankFlow's pre-existing tools, frameworks, and methodologies, and (b) any third-party assets licensed separately (e.g., stock photography, font licenses).

4. Payment Terms

For service engagements, payment terms will be specified in your service agreement. Standard terms are:

  • Monthly retainers are billed in advance, due on the first of the month
  • One-time projects require a 50% deposit before work begins
  • Late payments incur a 1.5% monthly finance charge
  • Services may be paused for accounts more than 15 days past due

5. Cancellation

Monthly retainer engagements can be cancelled by either party with 30 days written notice. Work scheduled within the notice period will be completed and billed. Pre-paid retainers are non-refundable, but unused work hours may be applied during the notice period.

6. No Guarantee of Results

Search engine rankings, lead volume, conversion rates, and advertising performance depend on many factors outside our control — including competitors, algorithm changes, ad platform policies, and client-side execution. We don't guarantee specific rankings, traffic levels, lead counts, or revenue outcomes. We do guarantee that we'll apply our expertise diligently and transparently.

7. Disclaimers

The Site and services are provided "as is" and "as available," without warranties of any kind, either express or implied. To the fullest extent permitted by law, RankFlow disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, RankFlow's total liability for any claim arising out of or relating to the Site or services shall not exceed the total amount paid by the client to RankFlow in the 3 months preceding the claim. RankFlow shall not be liable for indirect, incidental, consequential, special, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless RankFlow Systems LLC, its officers, employees, and affiliates from any claims, losses, or damages arising from your use of the Site, your violation of these Terms, or your violation of any third-party rights.

10. Third-Party Services

Our services often involve third-party platforms (Google, Meta, hosting providers, etc.). You're responsible for complying with the terms of those platforms. We're not liable for actions taken by those platforms (account suspensions, ad disapprovals, algorithm changes).

11. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site shall be brought in the state or federal courts located in Spokane County, Washington.

12. Changes to These Terms

We may update these Terms from time to time. Updated terms take effect when posted. Continued use of the Site after changes constitutes acceptance of the new terms.
